By submitting content to our website (e.g., contact forms, feedback), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, adapt, publish, and display such content in connection with our business.

5.1 Service Description

MindWave Technology provides IT solutions, consulting, and technology services including but not limited to AI & Machine Learning, Cloud Solutions, Digital Transformation, Custom Software Development, Cybersecurity, Data Analytics, Simulation Systems, and HR Outsourcing services.

5.2 Service Agreements

Specific terms governing our services are set forth in separate service agreements, statements of work, or proposals. In case of any conflict between these Terms and a service agreement, the service agreement shall prevail.

5.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of services.

6. User Accounts and Responsibilities

  • Payment is due within 30 days of invoice date
  • Late payments may incur interest at the rate specified in the service agreement
  • We reserve the right to suspend services for non-payment

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses
  • Our total aggregate liability for all claims arising from these Terms or our services shall not exceed the amount paid by you to us in the 12 months preceding the claim
  • We do not guarantee that our website or services will be uninterrupted, error-free, or secure
  • We are not responsible for damages caused by third-party services or content

These limitations apply regardless of the legal theory (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless MindWave Technology Ltd, its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

14.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

14.3 Arbitration

For disputes involving amounts exceeding BDT 500,000, either party may elect to resolve the dispute through arbitration under the Arbitration Act 2001 of Bangladesh. The arbitration shall be conducted in Dhaka in the English language.

14.4 EU Users

For users in the European Union, you may also have the right to use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/odr.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of our website after changes constitutes acceptance of the modified Terms.

We will notify you of material changes by email or through a prominent notice on our website. We encourage you to review these Terms periodically.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
